Consent By signing below, I confirm that I have read, understood, and agree to the below company terms and conditions:
The Terms and Conditions includes the 'Services' mentioned on the quotation and/or
invoice provided by Luxe Incorporations Corporate Services Provider L.L.C. I hereby
agree to the following terms of agreement:
1. NEW COMPANIES
1.1. The registration process for any new company starts upon submission of the
respective documents and payment of the invoice in full, at which time, these Terms
and Conditions form a valid and binding agreement on you and us together.
1.2. An application for establishing a new company may, in some rare cases also be
denied by the applicable authorities for which Luxe Incorporations holds no
responsibility or liability and has no control over. If the reason for such a denial is
related to the applicant, one of the shareholders or one of the managers of the
company to be established - including, but not limited to any security clearance
denial by the relevant UAE Authorities for any such person - any fees paid by the
applicant to the authorities for the Establishment Card and the E-Channel
Subscription shall be reimbursed by Luxe Incorporations to the applicant. Any other
fees paid by the applicant to the authority shall be forfeited.
1.3. Luxe Incorporations i.e. the consultancy having responsibility for the formation,
registration and regulation of the new company, shall be entitled to request any
additional documentation, information or (and) clarification from the applicants as
may be needed from time to time from any applicants.
1.4. By signing of these Terms and Conditions, the applicants guarantee and warrant
that they are not involved in any illegal activities, including but not limited to money
laundering or any other similar illegal or immoral actions that may have a negative
impact in any way on the reputation of the Authorities, Government or the United
Arab Emirates.
1.5. The application approval for the establishment of a new company, shall be at the
sole discretion of the respective authorities. The latter reserves the right to reject any
application or to require guarantees or any other kind of documents from any
applicants at any time.
1.6. In case a license is not renewed within a maximum of 30 days after its expiry, a
fine will be imposed from the authorities. Luxe Incorporations will provide reminders
for renewals if applicable and requires at least three (3) working days to initiate and
process any request for renewal.
1.7 If you have already incorporated a company and you are the license holder, you
may request changes, upgrades or downgrades as you wish, at additional fees. Luxe
Incorporations will provide fee quotations and allow you to use additional services if
you wish to do so.
1.8. Companies registered within the UAE are permitted to carry out their business
activities within the UAE and elsewhere subject to applicable laws and regulations.
Luxe Incorporations does not advise on financial, insurance, legal or regulatory
matters.
1.9 Companies in the UAE are responsible for all taxation, accounting and financial
liabilities, this includes providing all relevant documentation and information within
the timeframe as stated by the third-party authorities. Liability is with the Company
and not Luxe Incorporations.
2. VISAS (if applicable, depending on the license package chosen):
2.1. Rules and regulations to visas and residency are subject to change from time to
time by the respective UAE authorities.
2.2. In order to apply for visa a so-called Establishment Card and an E- Channel
Subscription is mandatory for any company. Applicable fees for the Establishment
Card and E-Channel Subscription as well as the visa itself must be paid to the
authorities in order to avail the visa. The E- Channel Subscription enables authorities
to apply for visas online on behalf of the Company. Hence, in order to keep visas of
employees and/or investors valid and to be able to apply for visas, any company
must renew the Establishment Card and the E-Channel Subscription before its expiry
date. Failing to do so on time triggers a fine, which will be determined by the
authorities/Immigration.
2.3. Residence visas issued from Immigration have a validity as provided by the
respective license package chosen by you.
2.4. It is your responsibility to ensure your employees have a valid employment or
residence visa and to ensure that these are renewed or cancelled in a timely
manner. We will provide reminders of these occasions to assist with this process. We
require at least five (5) working days to initiate and process any request for renewal
and we shall not hold responsibility for any delays, penalties or rejections.
2.5. Luxe Incorporations are not responsible for any visa overstay of your employees
and is not responsible for any penalties imposed by the Immigration Authorities as a
result of any overstay.
2.6. Luxe Incorporations are not responsible for any visa application rejection from
any of the Immigration Authorities.
2.7. Companies are not allowed to exceed the number of visas allocated as per the
license package chosen. This can be upgraded/amended at any time if required.
2.8. All license holders are responsible to settle their financial obligations towards
their employees (salaries, allowances, vacation time etc.) according to the
employment agreement with such employees, which should be signed in accordance
with U.A.E. Labour Law.
3. LIMITATION OF LIABILITY
Our liability to you is limited to the professional fees that you pay Luxe
Incorporations, and you waive any claims for additional compensation from us in any
manner. We do not offer or provide any guarantees or warranties in any respect and
can only offer to use best endeavours to provide you the Services however you
acknowledge and agree that the respective regulatory authorities in the United Arab
Emirates hold ultimate decision-making power and authority with respect to your
requests.
4. GOVERNING LAW AND DISPUTES
Our relationship and this agreement is governed by the laws of the United Arab
Emirates. Any disputes arising between us may be referred to the courts in the
Emirate of Dubai. In the event of your non-payment, you agree that we reserve the
right to bring a claim before the courts in the Dubai International Financial Centre or
the courts in the country of your domicile or residence.
5. NO OBJECTION CLAUSE
Should you wish to deal directly with the authority or another agent a no objection
fee of 3,500aed will be payable to Luxe Incorporations prior to providing any written
or verbal confirmation of the acceptance to issue this notice. The process takes 3-5
working days and is issued at the discretion of Luxe Incorporations management
team.
